The Bulgarian National Bank (BNB) has approved the merger of Tokuda Bank into Bulgarian-American Credit Bank (BACB), the central bank said.

Tokuda Bank will close without liquidation, and BACB will become its universal successor, taking over all its rights and obligations. In other words, BACB takes on everything the bank owns and owes.

The merger is the final step after BACB completed its purchase of Tokuda Bank in January this year. The deal was announced in April 2024. Before the sale, the bank belonged to Japan's Tokushukai Incorporated.

In July 2024, the Commission for Protection of Competition allowed BACB to take direct control of Tokuda Bank. In December 2025, the BNB's governing council gave advance approval for BACB to acquire a direct qualifying holding, meaning a large stake, in the bank. It acted on instructions from the European Central Bank (ECB).

Tsvetelina Borislavova, who spoke to the Bulgarian news agency BTA at the end of last year, said she thinks the takeover is good for the Bulgarian economy as a whole. "There must be truly strong, transparent Bulgarian banks that operate in Bulgaria, and this is another confirmation of us as one," she said.
