The Commission for Protection of Competition (CPC) has given the green light for a significant deal in the optical industry, approving the acquisition of joint control over "Optical Factory" AD in Panagyurishte by the German giant "Carl Zeiss Jena" GmbH and a group of Bulgarian investors. This decision marks an important moment for the development of high-tech manufacturing in Bulgaria.

The CPC conducted an in-depth study of the deal, focusing on the potential effects on competition in the sector. The analysis covered multiple aspects of the market, including the production of optical components, optical glass, and optical products within the European Economic Area.

The Commission's experts carefully examined the possibility of horizontal overlap and vertical connections between the parties involved in the deal. Particular attention was paid to the potential for coordination between the parent companies, known as "cooperative or spillover effects", which could affect the competitive environment.

After a thorough analysis, the CPC concluded that the planned deal does not pose a threat to effective competition in the market. The Commission found no indications that the transaction would lead to the establishment or strengthening of a dominant position of the participants.

Discussion of concerns and expectations for development

An interesting aspect of the approval process was the discussion of concerns expressed by competitors regarding the potential increase in competition for qualified personnel with the entry of an international investor of the caliber of "Carl Zeiss Jena" GmbH. In response to these concerns, the CPC emphasized that the free movement of labor is a fundamental principle that cannot be restricted.

At the same time, the Commission expressed confidence that investors of the scale of "Carl Zeiss" understand the importance of sustainable development of human capital. The CPC expects that the entry of the German giant will stimulate partnerships with local educational institutions and encourage the introduction of innovative educational models such as dual education.
